Changes to the Board Election Practices and EGM.

As separately advised to Members, the Club will hold an EGM on Tuesday 1 September 2020 at 700pm to amend the Club’s Memorandum and Articles of Association to allow elections of Club Officers and Directors to be held more efficiently. Our initial intention was to hold the EGM prior to the information contained in this note being provided. However, the reinstatement of COVID-19 restrictions necessitated the delay of the EGM and we believe it is important for Members to receive this information in a timely manner.

In addition to the proposed changes to be presented to the EGM, the Board has undertaken a review of the election processes and practices over recent months. The EGM is required to change the Club’s Rules regarding the processes, and the Board recommends members support the special resolution as advised in the Notice of Meeting. The Board has also determined that there should be changes to various practices related to the elections of Directors and, while these changes do not require the formal approval of members, they are presented here for members’ information.


The following changes to practices will be implemented –

  1. Potential Directors Expression of Interest.

The Board wishes to provide greater opportunity for Members who have a desire to be involved in the Club to register their interest. The Expression of Interest (EOI) is a very brief process during which Members can provide their details including their experience and qualifications.

The Board will then consider each submission and communicate with those Members who registered their intent.

The EOI is now available and Members wishing to express their interest are encouraged to do so. To enable a thorough and timely review, the EOI must be completed by 21 August 2020.

  1. Opening of Board Nominations.

Irrespective of whether the EGM endorses the recommended change to the Club Rules that formally open nominations 35 days prior to the EGM, the Board will open the nominations 35 days prior to the Annual General Meeting. This year the nominations will open on Tuesday 22 September 2020.

The communication that is provided to Members at that time will include information concerning –

  • the positions that are subject to election at the AGM.
  • the candidates whose nominations will be endorsed by the Board.
  • the process that other candidates may follow should they wish to nominate for a position.
  • the voting process and
  • the announcement of the results of any election.

Tuesday    22 September Nominations open.
Tuesday   6 October Nominations close *
Tuesday 13 October  Election Voting opens *
Thursday  23 October Election Voting closes *
Tuesday 27 October   Annual General Meeting
